  81. </p>
  82. <p><span style='font-size:10.0pt'>THE ACCOMPANYING PROGRAM IS PROVIDED UNDER
  83. THE TERMS OF THIS ECLIPSE PUBLIC LICENSE (&quot;AGREEMENT&quot;). ANY USE,
  84. REPRODUCTION OR DISTRIBUTION OF THE PROGRAM CONSTITUTES RECIPIENT'S ACCEPTANCE
  85. OF THIS AGREEMENT.</span> </p>
  86. <p><b><span style='font-size:10.0pt'>1. DEFINITIONS</span></b> </p>
  87. <p><span style='font-size:10.0pt'>&quot;Contribution&quot; means:</span> </p>
  88. <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>a)
  89. in the case of the initial Contributor, the initial code and documentation
  90. distributed under this Agreement, and<br clear=left>
  91. b) in the case of each subsequent Contributor:</span></p>
  92. <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>i)
  93. changes to the Program, and</span></p>
  94. <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>ii)
  95. additions to the Program;</span></p>
  96. <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>where
  97. such changes and/or additions to the Program originate from and are distributed
  98. by that particular Contributor. A Contribution 'originates' from a Contributor
  99. if it was added to the Program by such Contributor itself or anyone acting on
  100. such Contributor's behalf. Contributions do not include additions to the
  101. Program which: (i) are separate modules of software distributed in conjunction
  102. with the Program under their own license agreement, and (ii) are not derivative
  103. works of the Program. </span></p>
  104. <p><span style='font-size:10.0pt'>&quot;Contributor&quot; means any person or
  105. entity that distributes the Program.</span> </p>
  106. <p><span style='font-size:10.0pt'>&quot;Licensed Patents &quot; mean patent
  107. claims licensable by a Contributor which are necessarily infringed by the use
  108. or sale of its Contribution alone or when combined with the Program. </span></p>
  109. <p><span style='font-size:10.0pt'>&quot;Program&quot; means the Contributions
  110. distributed in accordance with this Agreement.</span> </p>
  111. <p><span style='font-size:10.0pt'>&quot;Recipient&quot; means anyone who
  112. receives the Program under this Agreement, including all Contributors.</span> </p>
  113. <p><b><span style='font-size:10.0pt'>2. GRANT OF RIGHTS</span></b> </p>
  114. <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>a)
  115. Subject to the terms of this Agreement, each Contributor hereby grants Recipient
  116. a non-exclusive, worldwide, royalty-free copyright license to<span
  117. style='color:red'> </span>reproduce, prepare derivative works of, publicly
  118. display, publicly perform, distribute and sublicense the Contribution of such
  119. Contributor, if any, and such derivative works, in source code and object code
  120. form.</span></p>
  121. <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>b)
  122. Subject to the terms of this Agreement, each Contributor hereby grants
  123. Recipient a non-exclusive, worldwide,<span style='color:green'> </span>royalty-free
  124. patent license under Licensed Patents to make, use, sell, offer to sell, import
  125. and otherwise transfer the Contribution of such Contributor, if any, in source
  126. code and object code form. This patent license shall apply to the combination
  127. of the Contribution and the Program if, at the time the Contribution is added
  128. by the Contributor, such addition of the Contribution causes such combination
  129. to be covered by the Licensed Patents. The patent license shall not apply to
  130. any other combinations which include the Contribution. No hardware per se is
  131. licensed hereunder. </span></p>
  132. <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>c)
  133. Recipient understands that although each Contributor grants the licenses to its
  134. Contributions set forth herein, no assurances are provided by any Contributor
  135. that the Program does not infringe the patent or other intellectual property
  136. rights of any other entity. Each Contributor disclaims any liability to Recipient
  137. for claims brought by any other entity based on infringement of intellectual
  138. property rights or otherwise. As a condition to exercising the rights and
  139. licenses granted hereunder, each Recipient hereby assumes sole responsibility
  140. to secure any other intellectual property rights needed, if any. For example,
  141. if a third party patent license is required to allow Recipient to distribute
  142. the Program, it is Recipient's responsibility to acquire that license before
  143. distributing the Program.</span></p>
  144. <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>d)
  145. Each Contributor represents that to its knowledge it has sufficient copyright
  146. rights in its Contribution, if any, to grant the copyright license set forth in
  147. this Agreement. </span></p>
  148. <p><b><span style='font-size:10.0pt'>3. REQUIREMENTS</span></b> </p>
  149. <p><span style='font-size:10.0pt'>A Contributor may choose to distribute the
  150. Program in object code form under its own license agreement, provided that:</span>
  151. </p>
  152. <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>a)
  153. it complies with the terms and conditions of this Agreement; and</span></p>
  154. <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>b)
  155. its license agreement:</span></p>
  156. <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>i)
  157. effectively disclaims on behalf of all Contributors all warranties and
  158. conditions, express and implied, including warranties or conditions of title
  159. and non-infringement, and implied warranties or conditions of merchantability
  160. and fitness for a particular purpose; </span></p>
  161. <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>ii)
  162. effectively excludes on behalf of all Contributors all liability for damages,
  163. including direct, indirect, special, incidental and consequential damages, such
  164. as lost profits; </span></p>
  165. <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>iii)
  166. states that any provisions which differ from this Agreement are offered by that
  167. Contributor alone and not by any other party; and</span></p>
  168. <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>iv)
  169. states that source code for the Program is available from such Contributor, and
  170. informs licensees how to obtain it in a reasonable manner on or through a
  171. medium customarily used for software exchange.<span style='color:blue'> </span></span></p>
  172. <p><span style='font-size:10.0pt'>When the Program is made available in source
  173. code form:</span> </p>
  174. <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>a)
  175. it must be made available under this Agreement; and </span></p>
  176. <p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>b) a
  177. copy of this Agreement must be included with each copy of the Program. </span></p>
  178. <p><span style='font-size:10.0pt'>Contributors may not remove or alter any
  179. copyright notices contained within the Program. </span></p>
  180. <p><span style='font-size:10.0pt'>Each Contributor must identify itself as the
  181. originator of its Contribution, if any, in a manner that reasonably allows
  182. subsequent Recipients to identify the originator of the Contribution. </span></p>
  183. <p><b><span style='font-size:10.0pt'>4. COMMERCIAL DISTRIBUTION</span></b> </p>
  184. <p><span style='font-size:10.0pt'>Commercial distributors of software may
  185. accept certain responsibilities with respect to end users, business partners
  186. and the like. While this license is intended to facilitate the commercial use
  187. of the Program, the Contributor who includes the Program in a commercial
  188. product offering should do so in a manner which does not create potential
  189. liability for other Contributors. Therefore, if a Contributor includes the
  190. Program in a commercial product offering, such Contributor (&quot;Commercial
  191. Contributor&quot;) hereby agrees to defend and indemnify every other
  192. Contributor (&quot;Indemnified Contributor&quot;) against any losses, damages and
  193. costs (collectively &quot;Losses&quot;) arising from claims, lawsuits and other
  194. legal actions brought by a third party against the Indemnified Contributor to
  195. the extent caused by the acts or omissions of such Commercial Contributor in
  196. connection with its distribution of the Program in a commercial product
  197. offering. The obligations in this section do not apply to any claims or Losses
  198. relating to any actual or alleged intellectual property infringement. In order
  199. to qualify, an Indemnified Contributor must: a) promptly notify the Commercial
  200. Contributor in writing of such claim, and b) allow the Commercial Contributor
  201. to control, and cooperate with the Commercial Contributor in, the defense and
  202. any related settlement negotiations. The Indemnified Contributor may participate
  203. in any such claim at its own expense.</span> </p>
  204. <p><span style='font-size:10.0pt'>For example, a Contributor might include the
  205. Program in a commercial product offering, Product X. That Contributor is then a
  206. Commercial Contributor. If that Commercial Contributor then makes performance
  207. claims, or offers warranties related to Product X, those performance claims and
  208. warranties are such Commercial Contributor's responsibility alone. Under this
  209. section, the Commercial Contributor would have to defend claims against the
  210. other Contributors related to those performance claims and warranties, and if a
  211. court requires any other Contributor to pay any damages as a result, the
  212. Commercial Contributor must pay those damages.</span> </p>
  213. <p><b><span style='font-size:10.0pt'>5. NO WARRANTY</span></b> </p>
  214. <p><span style='font-size:10.0pt'>EXCEPT AS EXPRESSLY SET FORTH IN THIS
  215. AGREEMENT, THE PROGRAM IS PROVIDED ON AN &quot;AS IS&quot; BASIS, WITHOUT
  216. WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING,
  217. WITHOUT LIMITATION, ANY WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT,
  218. MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Each Recipient is solely
  219. responsible for determining the appropriateness of using and distributing the
  220. Program and assumes all risks associated with its exercise of rights under this
  221. Agreement , including but not limited to the risks and costs of program errors,
  222. compliance with applicable laws, damage to or loss of data, programs or
  223. equipment, and unavailability or interruption of operations. </span></p>
  224. <p><b><span style='font-size:10.0pt'>6. DISCLAIMER OF LIABILITY</span></b> </p>
  225. <p><span style='font-size:10.0pt'>EXCEPT AS EXPRESSLY SET FORTH IN THIS
  226. AGREEMENT, NEITHER RECIPIENT NOR ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR
  227. ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES
  228. (INCLUDING WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY
  229. OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING
  230. NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR DISTRIBUTION OF
  231. THE PROGRAM OR THE EXERCISE OF ANY RIGHTS GRANTED HEREUNDER, EVEN IF ADVISED OF
  232. THE POSSIBILITY OF SUCH DAMAGES.</span> </p>
  233. <p><b><span style='font-size:10.0pt'>7. GENERAL</span></b> </p>
  234. <p><span style='font-size:10.0pt'>If any provision of this Agreement is invalid
  235. or unenforceable under applicable law, it shall not affect the validity or
  236. enforceability of the remainder of the terms of this Agreement, and without
  237. further action by the parties hereto, such provision shall be reformed to the
  238. minimum extent necessary to make such provision valid and enforceable.</span> </p>
  239. <p><span style='font-size:10.0pt'>If Recipient institutes patent litigation
  240. against any entity (including a cross-claim or counterclaim in a lawsuit)
  241. alleging that the Program itself (excluding combinations of the Program with
  242. other software or hardware) infringes such Recipient's patent(s), then such
  243. Recipient's rights granted under Section 2(b) shall terminate as of the date
  244. such litigation is filed. </span></p>
  245. <p><span style='font-size:10.0pt'>All Recipient's rights under this Agreement
  246. shall terminate if it fails to comply with any of the material terms or
  247. conditions of this Agreement and does not cure such failure in a reasonable
  248. period of time after becoming aware of such noncompliance. If all Recipient's
  249. rights under this Agreement terminate, Recipient agrees to cease use and
  250. distribution of the Program as soon as reasonably practicable. However,
  251. Recipient's obligations under this Agreement and any licenses granted by
  252. Recipient relating to the Program shall continue and survive. </span></p>
  253. <p><span style='font-size:10.0pt'>Everyone is permitted to copy and distribute
  254. copies of this Agreement, but in order to avoid inconsistency the Agreement is
  255. copyrighted and may only be modified in the following manner. The Agreement
  256. Steward reserves the right to publish new versions (including revisions) of
  257. this Agreement from time to time. No one other than the Agreement Steward has
  258. the right to modify this Agreement. The Eclipse Foundation is the initial
  259. Agreement Steward. The Eclipse Foundation may assign the responsibility to
  260. serve as the Agreement Steward to a suitable separate entity. Each new version
  261. of the Agreement will be given a distinguishing version number. The Program
  262. (including Contributions) may always be distributed subject to the version of
  263. the Agreement under which it was received. In addition, after a new version of
  264. the Agreement is published, Contributor may elect to distribute the Program
  265. (including its Contributions) under the new version. Except as expressly stated
  266. in Sections 2(a) and 2(b) above, Recipient receives no rights or licenses to
  267. the intellectual property of any Contributor under this Agreement, whether
  268. expressly, by implication, estoppel or otherwise. All rights in the Program not
  269. expressly granted under this Agreement are reserved.</span> </p>
  270. <p><span style='font-size:10.0pt'>This Agreement is governed by the laws of the
  271. State of New York and the intellectual property laws of the United States of
  272. America. No party to this Agreement will bring a legal action under this
  273. Agreement more than one year after the cause of action arose. Each party waives
  274. its rights to a jury trial in any resulting litigation.</span> </p>
